RE:      UAW-Delphi National Agreement Ratification

Greetings:

This is to inform you that the UAW-Delphi Memorandum of Understanding Delphi Restructuring and the 2003 Extended National Agreement between Delphi Corporation and International Union, UAW, has been ratified.

We have notified the Delphi Corporation of ratification and will advise you of the effective date of the Agreement as it is known.

The vote count was:
