DELPHI UPDATE – FEBRUARY 1, 2007

 

In the December 18, 2006 Delphi Update, we reported on investment and financing arrangements Delphi had reached with its lenders, creditors, potential investors and other constituencies.  These arrangements referenced achievement of a tentative labor agreement by January 31 as one of the timing components.  These proposed arrangements and their respective timelines – which the Union was not a party to – required Bankruptcy Court approval and set forth those parties’ view on the timing and direction of Delphi’s restructuring.  Despite the timelines set forth in those agreements, the documents did recognize that the company still requires a consensual resolution of its outstanding labor issues in order to complete the reorganization.

In early January 2007, the Bankruptcy Court allowed these proposed arrangements to be implemented.  The Court’s order provided Delphi, its creditors, potential investors and other financially interested parties a process for concluding the reorganization and allowing the company to emerge from Chapter 11 bankruptcy.

For several months, the Union has been engaged in discussions with Delphi and potential investors concerning resolution of our outstanding labor issues.  Unfortunately, neither the company nor the potential investors has demonstrated a willingness to resolve the substantial issues which divide us.  While the UAW desires to work with the company and its potential investors in order to allow Delphi to emerge from bankruptcy, we will not negotiate any agreements on a company imposed timeline.  These deadlines were determined without any input from the Union, and the UAW will be guided only by our desire to advocate for the best interests of our members, retirees and their communities.

UAW, Delphi reach agreement on converting temporary employees to permanent status

 

To: All General Motors and Delphi Local Union Presidents and Chairpersons

From: UAW President Ron Gettelfinger and UAW Vice President Cal Rapson

At the last Delphi chairpersons and presidents meeting, there was discussion over the amount of temporary employees working at Delphi and the need to begin converting temporary employees to permanent status.

During discussion with Delphi, we have reached an agreement, to convert supplemental temporary employees hired November 20, 2006, or earlier, to permanent employees. Time worked as a temporary employee will be used in establishing a seniority date pursuant to Paragraph 57 of the UAW-Delphi National Agreement.

The only exceptions are (1) employees hired as contract employees or (2) employees hired as temporary employees with Delphi credited service January 1, 1999 or later, or (3) temporary employees who accepted an option under the GM or Delphi Special Attrition Programs are not eligible to be converted to permanent employees.

Delphi obtains another postponement on Section 1113-1114 trial

During Thursday afternoon's status conference with U.S. Bankruptcy Court Judge Robert Drain, Delphi's lawyers sought and obtained another adjournment of the pending Section 1113-1114 trial. Accordingly, hearings on Delphi's request to reject its collective bargaining agreements and terminate retiree benefits have been further postponed. The Court set Nov. 8 for the next status conference with the judge.

Purported progress in discussions with certain financial stakeholders prompted Delphi to seek another postponement of the Section 1113-1114 hearings. As we have stated in the past, the UAW is not and has not been a party to such discussions. Over the past several weeks the UAW has continued its dialogue with General Motors and Delphi in an effort to resolve issues surrounding the proposed restructuring of Delphi. However, there has been no material progress on issues of importance to our members and retirees. Delphi's failure to recognize the impact of the Attrition Programs and Supplement on the company's bottom line is inexplicable and has been a real impediment to resolving the issues at hand.

While the union remains committed to resolving these issues at the bargaining table, we remain ready to return to court and defend our hard-earned labor agreements and retiree benefits at any moment.

U.S. Bankruptcy Court grants Delphi's request for further postponement of Section 1113-1114 hearings

At Thursday’s scheduled status conference with U.S. Bankruptcy Judge Robert Drain, Delphi sought and the court granted a further postponement of the Section 1113-1114 trial. Drain set Oct. 19 as the next date for a status conference on the pending 1113-1114 cases. At that time, Delphi is expected to advise the court whether it will seek further postponement of the trial. The statutory deadline for the judge to rule on the 1113-1114 motions was extended to Nov. 30.

Delphi has suggested, yet again, that further adjournment of the 1113-1114 trials is prudent, given the “progress” it continues to make with certain financial stakeholders. While the UAW continues to believe that negotiation, not litigation, is the path to resolution of the issues at hand, the union is not a party to, nor has it been involved in, those discussions. Our discussions with General Motors and Delphi are ongoing, and we will keep you posted on any material progress on that front.

Judge grants Delphi’s request for indefinite postponement of Section 1113-1114 hearings

During a status conference with United States Bankruptcy Judge Robert Drain, Delphi sought an indefinite postponement of the Section 1113-1114 trial. Yesterday afternoon the judge granted Delphi’s request, and the trial has been postponed for an undetermined period of time. Judge Drain has scheduled a status conference for Sept. 28, when Delphi is expected to advise the Court on how it wishes to proceed - whether to resume the 1113-1114 proceedings or further postpone the trial.

Delphi states that it sought another adjournment of the 1113-1114 trial based on continued progress in bankruptcy claims discussions it has held with certain financial stakeholders. However, the UAW is not a party to these talks. While we have continued our discussions with General Motors and Delphi on issues concerning our members and retirees, we have no meaningful progress to report. Delphi’s further postponement of the 1113-1114 proceedings is not an indication of any resolution of the many difficult and complex issues impacting UAW members and retirees.
